EQUIPMENT SELECTION BASED ON THE INFORMATION PROVIDED BY THE CUSTOMER
THE EQUIPMENT WILL HAVE A WARRANTY OF ONE ( 1 ) YEAR AGAINST MANUFACTURING DEFECTS. THE WARRANTY DOES NOT COVER DAMAGE CAUSED BY FLOODS OR NATURAL PHENOMENA, NOR WILL IT APPLY IN CASES OF MISUSE OF THE EQUIPMENT, IMPROPER INSTALLATION, AND/OR FAILURE TO INSTALL PROTECTION AND CONTROL SYSTEMS.
Orders under $50.00 or its equivalent in colones must be paid in cash/upfront.
If the currency of this offer is U.S. dollars, the invoice payment must be made in the same currency; otherwise, the official selling exchange rate issued by the BCCR on the day of payment must be used.

Credit invoices accrue 3% late payment interest, without this implying an extension of the due date.
No returns are accepted on mechanical seals.
No returns are accepted on electrical parts/items.

TERMS AND CONDITIONS
Definitions: the customer; any person, company, or institution acquiring goods and/or services from ZEBOL S.A. will be referred to as “The Buyer.”
Acceptance: all deliveries of merchandise are subject to the terms and conditions contained herein and, therefore, to acceptance by the Buyer. In the event that the parties agree to any changes to the terms and conditions, such changes must be in writing and signed by both parties.
Quotations: ZEBOL S.A. prepares a formal written offer defining the proposed scope in accordance with the customer's request. The offer must be reviewed by the Buyer, followed by their acceptance of the scope, options, price, delivery terms, payment method, and additional comments in response to the Buyer's request for quotation.
Prices: the prices indicated in ZEBOL S.A.'s offer include taxes separately. The cost of transportation and insurance will be the responsibility of the Buyer, unless otherwise indicated in ZEBOL S.A.'s offer.
Additional costs: the customer must incur the costs of unloading the merchandise, unless otherwise agreed and stated in writing in the offer. Additionally, a storage fee will be incurred, which includes warehousing days, custody, handling of merchandise, and other factors depending on the equipment to be stored. Storage cost: warehousing + custody + handling + others. *These charges apply to all customers who requested merchandise for import purposes; after the committed delivery date, billing for this item will begin without exception, unless previously negotiated before the established time.
Validity of the offer: it will be 15 calendar days from the date of issuance, unless expressly stated otherwise in the offer.
Modification or cancellation of purchase orders: purchase orders may only be modified or corrected by written agreement signed by the parties, accepting the specific changes to be made, and, if applicable, modifications to the price and delivery times. The Buyer may not cancel their order unless they have the written consent of ZEBOL S.A. In such case, ZEBOL S.A. will notify the Buyer of the cancellation charges applied by manufacturers and/or the expenses for returning products to their place of origin. The Buyer agrees to pay these charges within 3 business days following a written request, including, without limitation, storage costs, insurance, freight, taxes, and import expenses, production costs of off-line materials, acquisition costs of non-returnable materials, cancellation costs and charges generated against ZEBOL S.A. by its suppliers, and any other costs that may result from the cancellation of the order by the Buyer. Delivery terms: materials will be delivered to ZEBOL S.A. warehouses, unless specified otherwise. ZEBOL S.A. may, upon the Buyer's request, deliver to their warehouses, for which ZEBOL S.A. will charge for the service as a separate line item, taking into consideration the size and/or volume of the goods and the distance to be traveled. ZEBOL S.A. shall not be liable for any loss, damage, or penalty as a result of a delay in the delivery of products or services due to causes beyond its control, including without limitation, failed reactions, acts of the Buyer, embargoes, or other government acts, regulations, or requests affecting ZEBOL S.A.'s activity; fire, explosion, accident, theft, vandalism, demonstrations, acts of war, strikes, and other labor difficulties; lightning, flood, earthquake, or other natural phenomena; delay in transportation or inability to obtain labor, fuel, materials, supplies, or energy at normal prices, and in general for any act of God and/or force majeure. Responsibility for the goods ends for Zebol upon delivery to the warehouses of the transportation companies requested by the Buyer; what happens during transport will be the responsibility of the Buyer or carrier according to the arrangements between them. Partial deliveries: ZEBOL S.A. reserves the right to make partial deliveries. Each partial delivery will be invoiced and paid for separately when due, independently of subsequent deliveries.
Claims: The Buyer must review the products and notify ZEBOL S.A. of any claim for shortages, defects, and/or damages, and must keep the goods until receiving written instructions from ZEBOL S.A. on the procedure to follow. If the Buyer does not notify ZEBOL S.A. within a maximum period of 24 hours after receiving the goods, they will be deemed received in accordance with these terms to their full satisfaction.
Impossibility or delay in delivery: the Buyer must guarantee that access to the work site is safe, both for ZEBOL S.A. workers and for light vehicles and cranes. In the event that delivery cannot be made for reasons beyond Zebol S.A.'s control, the operational expenses of the next trip will be paid in full by the customer (understood as mileage: ₡250 per kilometer for a light vehicle, and ₡500 per kilometer for a cargo vehicle; and man-hours at ₡4,500). In the event that the Buyer requests a rescheduling of the delivery, it will be subject to calendar availability.
Payment terms: payment terms are indicated in the offer (advance payment, credit, cash on delivery, partial payments, letter of credit, etc.). If the Buyer's financial situation results in uncertainty that ZEBOL S.A. will receive payment for the full sale price, ZEBOL S.A. may, without the need for notice to the Buyer, delay or postpone the delivery of products and/or services; ZEBOL S.A. is also authorized to modify the payment terms. In the event that the Buyer fails to pay the sale price, ZEBOL S.A., without prejudice to any other legal remedies, may delay delivery, cancel the order, or sell the products pending delivery to a third party on the Buyer's account and apply such products as a credit, without settlement or deduction of any kind, against the purchase price of the contract, and the Buyer agrees to pay the balance owed to ZEBOL S.A. upon request.
Warranty: ZEBOL S.A. guarantees that its products comply with the description provided to the Buyer through its offer and the product catalog. THIS WARRANTY IS EXCLUSIVELY ON THE PRODUCT; ZEBOL S.A. DOES NOT GRANT ANY OTHER WARRANTY FOR INSTALLATION COSTS, NON-PRODUCTION, ETC., INCLUDING ANY OTHER WARRANTY OF MERCHANTABILITY OR FITNESS OF THE PRODUCTS TO FULFILL ANY SPECIFIC PURPOSE. ALL PRODUCTS UNDER WARRANTY CLAIM MUST BE SENT OR DELIVERED TO THE OFFICES OF ZEBOL S.A. for equipment inspection and repair. In the event that the workshop determines, in its judgment, that the Buyer has misused or failed to employ the products in accordance with industry standards and practices, or has not used the products in accordance with the instructions provided by the manufacturers, the warranty granted will cease to be effective. The sole and exclusive liability of ZEBOL S.A. with respect to products proven to be defective shall be the replacement of the product at no cost to the Buyer, or the refund of the price paid.
Returns: ZEBOL S.A. will not accept product returns except with written authorization and in strict accordance with the internal Procedure of ZEBOL S.A. ZEBOL S.A. will not accept returns after more than 8 calendar days from the invoicing date. No returns of any electrical accessory will be accepted without exception.
Repairs: For repairs in a ZEBOL certified workshop, the warranty for applicable services is 6 months, except for mechanical seals and/or wear components, for which 30 days apply.
The early payment benefit: applies exclusively to commercial and industrial customers with an active line of credit. Products corresponding to Fire Protection Systems, Constant Pressure Systems, special assemblies, and general projects, as well as advance payment invoices and customers belonging to the construction sector, are excluded from this policy.
